These terms of use (“Terms”) and the Privacy Policy govern your access or use (“use”) of this website and describe the terms upon which Unit 410, LLC (“U410”) puts forth this website.
Please read these Terms and the Privacy Policy carefully before accessing or using (“using”) the website. By using the website, you acknowledge and agree to comply with, and be legally bound by, these Terms and the Privacy Policy. Do not use the website if you do not understand or agree to these Terms and the Privacy Policy.
U410 may (in U410’s sole discretion) modify or terminate the Terms at any time. You should review the Terms regularly, as you will be deemed to have accepted any modification if you continue to use the website after the modified Terms have been posted.
2. Content
The website is intended to provide general information about U410, which is an engineering firm that provides noncustodial services to institutions at the forefront of emergent blockchain technologies. U410 is not a custodian. U410 engineers technology solutions that provide the capabilities for such institutions to self-custody digital assets.
While U410 tries to ensure the website is accurate and up-to-date, no warranty is given as to the accuracy or completeness of the website and its content, and U410 has no liability for any website errors or omissions.
Any links to third-party sites are for informational purposes. Such third-party sites are not under U410’s control, and U410 is not responsible for the content, privacy policies, or practices of such third-party sites.
U410 may (in U410’s sole discretion) discontinue or modify any aspect of the website at any time with or without notice to you, and U410 will not be liable to you or any third party as a result of any such discontinuance or modification.
3. Use and Limitations
The website is intended for informational use only. You may not use the website for any other purpose.
Nothing in this website is, or should be construed or used as, (i) investment, financial, or other advice, (ii) a recommendation, or (iii) an offer or solicitation to buy, sell, invest in, obtain, use, dispose of, trade, hold, store, or participate in any digital asset, blockchain, network, protocol, or the like. Digital assets involve risks, including risk of loss; you should consult your advisors before making any decisions involving digital assets.
In using this website, you are responsible for compliance with applicable laws. The information on the website is not provided to, and may not be used by, any person or entity in any jurisdiction where the provision or use thereof would be contrary to applicable laws. Use of the website is void where prohibited by law.
At no time may you disrupt servers or networks connected to the website or circumvent, disable, or otherwise interfere with the website’s features that govern its security and restrictions.
4. Intellectual Property Rights
The website’s content (including, without limitation, text, documents, articles, posts, interfaces, graphics, images, features, look and feel, domain names, trademarks, service marks, logos, and the like (“Content”)) is the property of U410 and/or its licensors and is protected by copyright or other intellectual property laws.
The website and its Content is provided to you for your informational purposes only and may not be modified, copied, duplicated, imitated, licensed, reproduced, reverse-engineered, or otherwise exploited for any other purpose without U410’s prior written consent. Nothing in these Terms grants you any right to use any mark, logo, trade name, or the like of U410 or any third party.
You acknowledge and agree that any feedback from you about the website does not and will not give or grant you any right, title or interest in the website or such feedback. All such feedback becomes the sole and exclusive property of U410, and U410 may use and disclose such feedback in any manner and for any purpose whatsoever without further notice or compensation to you.
U410 reserves all rights in and to the website and its Content.
5. Warranty Disclaimers
The website is provided on an “as is” basis, and without warranties of any kind, whether express, implied, or otherwise—including, without limitation, implied warranties of merchantability fitness for a particular purpose, freedom from virus of other harmful code, uninterrupted access, or non-infringement of third-party rights—all of which are expressly disclaimed to the fullest extent permitted by law. U410 shall not be responsible for any consequences to you or any third party that may result from the website being unavailable, interrupted, or subject to bugs, security breaches, or virus attacks.
6. Limitation of Liability
To the fullest extent permissible by law, U410 and its officers, directors, employees, and agents shall not be liable for any damages or loss of any kind, arising out of your use of, or inability to use, the website.
7. Indemnity
You agree to indemnify, defend, and hold harmless U410 with respect to any claims or liabilities arising out of your use of the website or your breach of these Terms.
8. Miscellaneous
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to principles of conflict of laws. In connection with any dispute arising out or related to the Terms, you agree to submit to the personal and exclusive jurisdiction of the courts located in Travis County, Texas and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
No partnership, joint venture, employment, fiduciary, custodial, agency, or any similar relationship exists between you and U410 as a result of these Terms, use of this website, or anything else.
If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. No waiver of any breach of these Terms shall be deemed to be a waiver of any preceding or subsequent breach.
These Terms govern your use of this website. Please note that if you intend to use any U410 products and services (including accessing the client portal), you will need to enter into a separate noncustodial services agreement with U410 (“client agreement”) that will govern use of the applicable U410 products and services. Please further note that U410 products and services are noncustodial and are designed to support sophisticated institutions only. In the event of a conflict between a client agreement and these Terms, the client agreement will control.
